1. Agreement and Scope
This End User License Agreement ("EULA") is between Aurynge and each person whom Aurynge authorizes to access the Aurynge QuickBooks Online integration, Aurynge DevOps bookkeeping tools, and related software, documentation, and services (collectively, the "Internal Application").
By accessing or using the Internal Application, you agree to this EULA. If you are not an authorized Aurynge employee, contractor, officer, or administrator, you may not access or use the Internal Application.
2. Limited Internal-Use License
Subject to this EULA, Aurynge grants each authorized user a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use the Internal Application only:
- for Aurynge's internal business, bookkeeping, reconciliation, reporting, and administrative purposes;
- within the responsibilities assigned to that user by Aurynge; and
- with accounts, company files, systems, and data that Aurynge owns, controls, or is authorized to process.
No right is granted to provide the Internal Application as a service to another person or organization.
3. License Restrictions
Except where applicable law expressly prohibits a restriction, an authorized user must not:
- copy, distribute, sell, rent, lease, sublicense, publish, or externally host the Internal Application;
- permit an unauthorized person to access the Internal Application or connected QuickBooks Online company data;
- reverse engineer, decompile, disassemble, or attempt to derive source code from components not already provided in source form;
- bypass authentication, authorization, usage limits, audit controls, or other safeguards;
- use the Internal Application for unlawful, fraudulent, deceptive, or unauthorized purposes; or
- use Intuit or QuickBooks data in a way that violates applicable agreements, permissions, or law.
4. QuickBooks Online Authorization
The Internal Application may connect to QuickBooks Online through Intuit's authorization services and APIs. An authorized user may connect only a QuickBooks Online company that Aurynge owns, administers, or is expressly authorized to access.
By completing the connection flow, the authorized user directs the Internal Application to access, retrieve, create, update, or transmit QuickBooks Online data within the permissions shown during authorization. Access remains subject to the connected Intuit account, granted scopes, Intuit's terms, and any controls applied by the QuickBooks Online company administrator.
5. Financial Review and Responsibility
The Internal Application may extract invoice information, suggest accounting classifications, create draft records, upload supporting evidence, or post transactions to QuickBooks Online. Automated extraction and AI-assisted results may be inaccurate, incomplete, duplicated, or assigned to an incorrect account, tax code, vendor, or reporting period.
Authorized users remain responsible for reviewing source documents, posting settings, account mappings, tax treatment, amounts, dates, vendors, and resulting QuickBooks Online records before relying on them. The Internal Application does not provide accounting, tax, legal, or audit advice.
6. Credentials and Security
Authorized users must protect their credentials, use only approved devices and access methods, follow Aurynge security policies, and promptly report suspected unauthorized access, credential exposure, or inaccurate financial activity.
OAuth tokens, application credentials, financial records, invoices, attachments, and related operational data are confidential Aurynge information. They must not be copied to unapproved systems or disclosed outside Aurynge except as authorized for legitimate business, professional-adviser, regulatory, or legal purposes.
7. Data and Privacy
The Internal Application processes information needed to operate Aurynge's bookkeeping workflows, which may include QuickBooks Online company identifiers, account and tax-code references, vendors, purchases, bills, payment details, attachments, access tokens, refresh tokens, audit information, and synchronization metadata.
Aurynge handles personal information and connected-account data as described in the Aurynge Privacy Policy. Authorized users must access and use that data only for approved Aurynge purposes and in accordance with applicable retention, confidentiality, privacy, and security requirements.
8. Third-Party Services
QuickBooks Online and related Intuit services are third-party services governed by Intuit's agreements and policies. Intuit is not the licensor of the Internal Application, is not a party to this EULA, and is not responsible for providing support or maintenance for the Internal Application.
Aurynge does not control the availability, functionality, security, pricing, or continued operation of third-party services. A third-party service may change, suspend, restrict, or discontinue access independently of Aurynge.
9. Ownership
Aurynge and its licensors retain all rights, title, and interest in the Internal Application, including its software, interfaces, workflows, documentation, branding, and other intellectual property. This EULA grants only the limited right to use the Internal Application and does not transfer ownership.
Intuit and QuickBooks names, marks, services, and technology remain the property of Intuit and its licensors.
10. Updates, Availability, and Support
Aurynge may update, replace, limit, suspend, or discontinue any part of the Internal Application at any time. Aurynge is solely responsible for support and maintenance of the Internal Application. Support requests may be sent to support@aurynge.com.
11. Termination and Disconnection
The license ends immediately when a user is no longer authorized by Aurynge, when the user's employment or engagement ends, when access is revoked, or when the user violates this EULA. On termination, the user must stop using the Internal Application and return or securely delete Aurynge information as directed.
Aurynge may disconnect the QuickBooks Online integration or revoke its authorization at any time. Disconnecting may stop future synchronization but does not automatically remove records already created in QuickBooks Online or records Aurynge must retain for accounting, security, audit, contractual, or legal purposes.
12. Disclaimer
To the fullest extent permitted by law, the Internal Application is provided "as is" and "as available." Aurynge disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and error-free operation.
13. Limitation of Liability
To the fullest extent permitted by law, Aurynge and its licensors will not be liable under this EULA for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, opportunity, goodwill, or data. Nothing in this EULA limits liability that cannot lawfully be limited.
14. Governing Law
This EULA is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts located in British Columbia, Canada have exclusive jurisdiction over disputes arising from this EULA, except where applicable law requires otherwise.
15. Relationship to Other Terms
This EULA supplements the Aurynge Terms of Service and Aurynge Privacy Policy. For the Internal Application's license scope and internal-use restrictions, this EULA controls if there is a conflict. An authorized user's employment, contractor, confidentiality, security, or acceptable-use obligations continue to apply independently.
16. Changes to This EULA
Aurynge may update this EULA when the Internal Application, connected services, legal requirements, or internal controls change. The updated agreement will be posted on this page with a revised date.
